Platform Terms of Use

US Local Alliance operates a business network that organizes purchasing demand, supplier opportunities, program administration, and records. Unless expressly stated in a signed agreement, the Alliance is not the seller, service provider, employer, broker, guarantor, or agent of a member or supplier.

Business applicants must provide accurate information and have authority to act for their organization. Approval is discretionary and may require verification. Users must protect account credentials, keep profiles current, and promptly report suspected unauthorized access.

Members decide whether to participate and which supplier to select. Suppliers are responsible for their bids, qualifications, licenses, insurance, pricing, taxes, products, services, personnel, and performance. The member and supplier must enter their own direct agreement for each transaction.

Member dues, founding promotions, supplier access fees, and revenue-based fees are governed by the applicable signed program documents. Parties must provide accurate records, respond to verification requests, and cooperate with reasonable audits. No payment will be collected through Stripe until payment services are activated and disclosed.

Users may not misuse confidential information, manipulate bids or revenue reports, impersonate another person, upload unlawful material, interfere with platform security, or use the network to evade agreed Alliance fees.

The Alliance may restrict access for security, nonpayment, material breach, fraud, or risk to the network. Counsel must finalize warranties, liability caps, indemnities, governing law, venue or arbitration, class-action language, notice procedure, and survival terms before these Terms become effective.
